K&A Law Offices is founded by Ms. Kamalika Bhattacharjee, a seasoned corporate commercial lawyer with more than 17 years of experience. She specialises in advising Indian and international clients on foreign direct investment (FDI), general corporate and commercial advisory, private equity transactions, strategic investments, mergers & acquisitions (M&A), real estate transactions, and matters under the Insolvency and Bankruptcy Code (IBC).
Before establishing K&A Law Offices, Kamalika worked with Cyril Amarchand Mangaldas (2015–2021) as part of the Corporate M&A and IBC team. Prior to that, she was associated with MNK Law Offices (2009–2015) focusing on general corporate, real estate, and dispute resolution, and with SNG & Partners (2008–2009) where she advised on banking regulations governing Indian banks and financial institutions.
Kamalika’s practice spans multiple sectors, including e-commerce, education, real estate, renewable energy, infrastructure, IT/ITES, hospitality, and food & beverage manufacturing. Her core expertise lies in drafting and negotiating a wide range of transaction documents, such as:
She is proficient in vendor and investor due diligence, identifying legal/regulatory risks, and advising on structuring and compliance under company law, FEMA, external commercial borrowing norms, and contractual obligations. Kamalika also assists resolution applicants in Corporate Insolvency Resolution Processes (CIRP) by conducting due diligence and recommending risk mitigation strategies.
Her real estate experience includes advising on investments in real estate projects, commercial leasing, creation of security, and due diligence of land and buildings, as well as drafting key agreements for complex real estate transactions.
In addition to transactional work, Kamalika regularly represents clients before NCLTs, NCLAT (Delhi & Chennai), consumer forums, High Courts, and the Supreme Court of India in matters relating to IBC litigations, joint venture disputes, shareholder conflicts, oppression & mismanagement, and investor exit disputes.
