The Ministry of Corporate Affairs (MCA) has, vide its notification dated November 03, 2025, amended the Companies (Meetings of Board and its Powers) Rules, 2014 (the “Rules”). A substitution has been effected under Rule 11(2) of the Rules, which is in respect of loans and investments made by a company under section 186 of the Companies Act, 2013 (the “Act”). Notably, it clarifies the scope and meaning of the term “business of financing of companies” as used in clause (a) of sub-section (11) of section 186 of the Act, specifically in relation to Non-Banking Financial Companies and Finance Companies.
