K&A Law Offices is founded by Ms. Kamalika Bhattacharjee.  She is a corporate commercial lawyer with 16 years of experience in advising Indian and International clients in foreign direct investment, general corporate and commercial advisory, private equity transactions, strategic investment, mergers & acquisitions, real estate transactions and IBC matters.

Prior to founding K&A Law Offices, Kamalika was a part of the Delhi office of Cyril Amarchand Mangaldas (July 2015-November 2021) where she worked extensively with the Corporate M&A and IBC team.

Before joining Cyril Amarchand Mangaldas, Kamalika worked with a Delhi based boutique law firm MNK Law Offices (August 2009-June 2015) where her practice focus were General Corporate, Real Estate and Dispute Resolution.  Prior to joining MNK Law Offices, Kamalika worked with the Delhi office of SNG & Partners (July 2008-June 2009), where her core area of practice was advising on Banking Regulations governing the functioning of Indian banks and other financial institutions.

Kamalika regularly advises a range of clients across a variety of sectors, including e-commerce, education, real estate, renewable energy, infrastructure, IT/ ITES, hospitality, manufacturers of food & beverages, to name a few.

In particular, Kamalika has extensive experience in drafting and negotiating a wide range of transaction documents including share subscription agreements, share purchase agreements, share pledge agreements, shareholders’ agreements, investment agreements, business transfer agreements, employment agreements, joint venture agreements, sale deeds, lease deeds, mortgage deeds and other day to day corporate commercial contracts such as service agreements, agency agreements, franchise agreements, supply agreements, sales & marketing agreements, manufacturing & packaging agreements, brand license agreements, facility agreements, escrow agreements, guarantee agreements, distribution agreements, settlement agreements, novation agreements, assignment agreements including trademark assignment, copyright assignment etc.

Additionally, Kamalika is proficient in conducting due diligence of companies on behalf of the companies (vendor due diligence) as well as the investors proposing to invest in Indian companies (investor due diligence) in order to evaluate legal and regulatory risk/ non-compliances and suggest risk mitigants prior to undertaking investments.  She is known for her expertise in identifying transaction specific legal/ regulatory issues (both from structuring and implementation perspective) under applicable company law, foreign exchange control regulations, law of contract, external commercial borrowing regulations as well as advising on practical solutions to address the legal and regulatory risk/ non-compliances.

Kamalika also undertakes due diligence of corporate debtors on behalf of proposed resolution applicants in the Corporate Insolvency Resolution Process (CIRP) of Indian companies and suggests risk mitigation measures to facilitate submission of resolution plans.

Kamalika’s real estate experience includes advising on all aspects of investments into real estate projects, creation of security, sale and purchase of real properties, including commercial leasing, conducting due diligence of land & buildings (both commercial as well as residential), structuring and consummating complex real estate transactions. She is proficient in drafting and negotiating real estate transaction documents such as sale deeds, lease agreements, mortgage deeds, leave and license agreements, construction agreements, real estate agency and franchise agreements etc.

Additionally, Kamalika regularly represents a wide spectrum of clients before various courts and tribunals including, National Company Law Tribunals, National Company Law Appellate Tribunals (Delhi as well as Chennai), State & National Consumer Forums, High Courts and the Hon’ble Supreme Court of India in various IBC litigations, joint venture disputes, oppression & mismanagement matters, shareholders disputes, exit related disputes of investors and joint venture partners etc.
